This document is a public offer in accordance with the legislation of the Republic of Belarus and regulates the procedure for providing software development services.

1. General Provisions

  • This document is a public offer (hereinafter — «Offer») in accordance with the legislation of the Republic of Belarus and regulates the procedure for providing software development services.
  • Acceptance of the Offer is: payment for the Executor's services, or written (including electronic) confirmation of the start of work.
  • Acceptance means full and unconditional agreement to the terms of this Offer.
  • The agreement is considered concluded from the moment funds are received on the Executor's account or from the moment of written confirmation of the start of work.
  • This Offer is valid indefinitely until withdrawn by the Executor.

2. Subject of the Agreement

The Executor provides software development services, including:

  • Backend and API systems
  • Web applications
  • Service integrations
  • Business process automation
  • Related technical development

The specific scope, functionality, and requirements are defined by the technical specification or correspondence of the parties (email, messengers), recognized as part of the agreement. Services are result‑oriented within the agreed specification, but do not guarantee the achievement of the Customer's business result.

3. Procedure for Service Provision

  • Work is performed according to the agreed scope or stages.
  • All changes in requirements after the start of work are recorded as a change in scope and may affect the cost and deadlines.
  • If there is no feedback from the Customer for more than 5 business days, the Executor has the right to suspend work and shift deadlines without liability for the delay.

4. Cost and Payment Procedure

  • The cost is determined individually before the start of work.
  • Prices are quoted in US dollars (USD) or Belarusian rubles (BYN) by agreement of the parties.
  • Payment can be made by bank transfer or in cryptocurrency (by agreement of the parties).
  • Payment signifies agreement with the terms of the Offer and confirmation of the start of services.

5. Refund of Funds

  • No refund is provided for services already started or rendered.
  • Refund is possible only by mutual agreement of the parties if work has not begun.

For individuals (B2C): in accordance with the Law of the Republic of Belarus «On Consumer Rights Protection», you have the right to cancel the service before it begins with a full refund, and after the start — with a refund minus the Executor's actually incurred expenses.

6. Performance Deadlines

  • Deadlines are approximate and depend on the completeness of the specification, speed of Customer feedback, and changes in requirements.
  • When the scope of work changes, deadlines are automatically revised.

7. Acceptance of Work

  • The result is considered accepted if the Customer has not sent substantiated comments within 3 calendar days after delivery, or if actual use of the result has begun.
  • Comments must be specific and related to the agreed specification.

8. Intellectual Property

  • Exclusive rights to the work result transfer to the Customer only after full payment.
  • Until full payment, the code, solutions, and materials remain the property of the Executor.
  • The Executor has the right to use their own generic components and universal technical solutions (without disclosing the Customer's data).

9. Liability of the Parties

  • The Executor is not liable for lost profits, indirect losses, or business results of the Customer.
  • The Executor is not responsible for the operation of third‑party services, third‑party APIs, or changes in external platforms.
  • The Customer is responsible for the correctness of requirements, the legality of using the results, and the data provided.

10. Warranty and Support

  • The Executor provides warranty support for a period of 1 (one) month after project delivery.
  • The warranty covers only errors that contradict the agreed specification.
  • The warranty does not include new features, logic changes, or modifications due to changed requirements.
  • After the warranty period, support is provided under a separate agreement.

11. Confidentiality

  • The parties undertake not to disclose confidential information obtained during cooperation.
  • Confidential information includes technical solutions, business data, access credentials, and infrastructure.

12. Personal Data

Processing of personal data is carried out in accordance with the legislation of the Republic of Belarus and the Personal Data Processing Policy posted on the Executor's website.

13. Force Majeure

The parties are released from liability upon the occurrence of force majeure circumstances.

14. Dispute Resolution Procedure

  • All disputes and disagreements arising from this agreement shall be resolved through negotiations.
  • If an agreement cannot be reached, a mandatory pre‑trial claim procedure applies. The claim review period is 15 calendar days from the date of its receipt.
  • If the dispute cannot be resolved pre‑trial, it shall be submitted to the court at the location of the Executor in accordance with the legislation of the Republic of Belarus.

15. Final Provisions

  • The Executor has the right to change the terms of the Offer by publishing a new version on the website.
  • The new version enters into force from the moment of publication.
  • The relations of the parties are governed by the legislation of the Republic of Belarus.
